The Company is engaged in the claims process under its insurance policies with respect to these East Providence incident-related costs. Results also included a $4.6 million loss on disposal of property, plant and equipment, primarily related to the write-down of certain Statesboro, Georgia manufacturing assets. Third quarter 2025 results included $1.6 million in restructuring and demobilization costs. Excluding these items, adjusted net income for the third quarter of 2026 was $9.3 million, compared to adjusted net loss of $4.8 million in the prior year period.

Net loss per share was $0.13, compared to net loss per share of $0.08 in the prior year period. Excluding the items described above, adjusted net income per share was $0.11, compared to adjusted net loss per share of $0.06 in the prior year period.

Adjusted EBITDA for the third quarter of 2026 excludes the $15.1 million of incident-related costs and the $4.6 million loss on disposal of property, plant and equipment described above, which the Company does not consider indicative of its core operating performance.

A reconciliation of non-GAAP financial results to GAAP financial results is provided in the financial schedules that are part of this press release. An explanation of these non-GAAP financial measures is also included below under the heading “Non-GAAP Financial Measures.”

“Aspen delivered a strong third quarter, exceeding the high end of our outlook for both revenue and Adjusted EBITDA. The improvement was broad-based, with robust Energy Industrial deliveries, increased demand from GM, and growing contributions from European EV customers. We also reached early commercial milestones in data center infrastructure and battery energy storage. Looking ahead to 2027, we have secured significant project work across our Energy Industrial portfolio, giving us confidence that the business is well positioned for another solid growth year. These results align with our goals to grow and diversify Aspen while building durable profitability,” said Don Young, President and CEO.

Financial Outlook
Aspen issues its financial outlook as follows:

  • Q4 2026 Revenue is expected to range between $60 million and $75 million
  • Q4 2026 Net loss is expected to range between $11 million and $8 million
  • Q4 2026 Net loss per share is expected to range between $0.13 and $0.10
  • Q4 2026 Adjusted EBITDA is expected to range between $5 million and $13 million, which excludes an estimated $5 million to $10 million of East Providence incident-related costs, including expedited freight and expedited repair costs, professional fees, and the incremental cost of temporarily sourcing certain products from the Company's external manufacturing facility until the East Providence facility returns to full production capacity; the Company is engaged in the claims process under its insurance policies with respect to these costs
  • FY 2026 Capital Expenditures, excluding costs related to the restoration of the East Providence facility, are expected to be less than $10 million

Grant Thoele, Chief Financial Officer and Treasurer, noted, “Our third quarter results demonstrated the operating leverage built into our financial framework. Our fourth quarter outlook reflects our expectation of sustained demand across both segments, including increased LNG activity and our first data center infrastructure project. Following a record quarter, our European Thermal Barrier business continues to ramp, with seven OEMs across eight programs driving growth into 2027. Our strong balance sheet provides a solid foundation for continued growth.”

The Company's Q4 2026 outlook assumes depreciation and amortization of $5 million, stock-based compensation expense of $3 million, net interest expense of $3 million, and diluted weighted average shares outstanding of 83.1 million for the quarter. The Adjusted EBITDA range excludes an estimated $5 million to $10 million of East Providence incident-related costs, as described above.

A reconciliation of net loss to non-GAAP Adjusted EBITDA for the Q4 2026 financial outlook is provided in the financial schedules that are part of this press release. An explanation of this non-GAAP financial measure is also included below under the heading “Non-GAAP Financial Measures.”

Aspen may incur, among other items, additional charges, realize gains or losses, incur financing costs or interest expense, or experience other events in 2026, including those related to the recovery from the East Providence incidents, the staged restart of the East Providence manufacturing facility, operational disruptions, supply chain disruptions, or further cost inflation, that could cause actual results to vary materially from this outlook. See Special Note Regarding Forward-Looking and Cautionary Statements below.

Non-GAAP Financial Measures
In addition to providing financial measurements based on generally accepted accounting principles in the United States of America (“GAAP”), Aspen provides additional financial metrics that are not prepared in accordance with GAAP (“non-GAAP”). The non-GAAP financial measures included in this press release are Adjusted EBITDA, Adjusted EBITDA margin, adjusted net income (loss), adjusted net income (loss) per share, adjusted gross profit, and adjusted gross margin. Management uses these non-GAAP financial measures, in addition to GAAP financial measures, as a measure of operating performance because the non-GAAP financial measures do not include the impact of items that management does not consider indicative of Aspen's core operating performance. These excluded items include the loss on disposal of property, plant and equipment and costs related to the East Providence incidents, including expedited freight and expedited repair costs, professional fees; and the incremental cost of temporarily sourcing certain products from the Company's external manufacturing facility until the East Providence facility returns to full production capacity. In addition, management uses Adjusted EBITDA (i) for planning purposes, including the preparation of Aspen's annual operating budget, (ii) to allocate resources to enhance the financial performance of its business, and (iii) as a performance measure under its bonus plan.

Management believes that these non-GAAP financial measures reflect Aspen's ongoing business in a manner that allows for meaningful comparisons and analysis of trends in its business, as it excludes expenses and gains not reflective of Aspen's ongoing operating results or that may be infrequent and/or unusual in nature. Management also believes that these non-GAAP financial measures provide useful information to investors in understanding and evaluating Aspen's operating results and future prospects in the same manner as management and in comparing financial results across accounting periods and to those of peer companies. These non-GAAP measures may not be comparable to similarly titled measures presented by other companies.

The non-GAAP financial measures do not replace the presentation of Aspen's GAAP financial results and should only be used as a supplement to, not as a substitute for, Aspen's financial results presented in accordance with GAAP. In this press release, Aspen has provided a reconciliation of Adjusted EBITDA to net income (loss), Adjusted EBITDA margin to net loss margin, adjusted net income (loss) to net loss, adjusted net income (loss) per share to net loss per share, adjusted gross profit to gross profit, and adjusted gross margin to gross margin, in each case to the most directly comparable GAAP financial measure. Management strongly encourages investors to review Aspen's financial statements and publicly filed reports in their entirety and not rely on any single financial measure.

Reconciliation of Non-GAAP Financial Measures

The following tables present reconciliations of the non-GAAP financial measures included in this press release to the most directly comparable GAAP measures:

Reconciliation of Adjusted EBITDA to Net Loss

We define Adjusted EBITDA as net income (loss) before interest expense, taxes, depreciation, amortization, stock-based compensation expense and other items, which occur from time to time and which we do not believe are indicative of our core operating performance. We define Adjusted EBITDA margin as Adjusted EBITDA divided by revenue, and net loss margin as net loss divided by revenue.
